Terms of Service – PayInBits Convenience (PiBC)

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at payinbits.com/home (the “Site”) and any services offered by PayInBits Convenience (“PiBC,” “we,” “us,” or “our”), including Information Technology, Information Security, Data & Analytics solutions, Licensing Services, Digital Transformation, Managed Services, Project Management, Implementation Services, Training, Forensic Audits, and Business Support services (collectively, the “Services”).

By accessing the Site, requesting a quote, submitting a support request, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or our Services.

2. Description of Services

PiBC provides technology consulting, licensing procurement, and support services for businesses, including but not limited to:

• Solutions: Information Technology, Information Security, and Data & Analytics
• Licensing Services: Procurement, renewal, and management of software and cloud licenses (e.g., Microsoft 365, Windows Server, and other vendor products)
• Digital Transformation, Managed Services, Project Management, Implementation Services, Training, and Forensic Audits
• Premium Business Support: Priority-based support requests (Low, Medium, High, Very Urgent)

We reserve the right to modify, suspend, or discontinue any Service, in whole or in part, at any time without prior notice.

3. Third-Party Products, Trademarks, and Partner Content

PiBC works with and resells or facilitates licensing for products from third-party vendors and partners, including Microsoft, AWS, Check Point, KnowBe4, Zoho, Extreme Networks, Fortinet, Sophos, Google, Trend Micro, CommScope, RSA, McAfee, Adobe, Box, SolarWinds, NeverBounce, Trellix, and others.

• All third-party logos, trademarks, and product names displayed on the Site are the property of their respective owners and are used for identification and promotional purposes only. Their display does not imply endorsement of PiBC by those companies.
• Product descriptions, content, and images related to partner products are sourced from the respective partners’ materials and are provided for informational purposes. PiBC does not warrant the accuracy or completeness of third-party content.
• Your use of any third-party product or license procured through PiBC is subject to that vendor’s own end-user license agreement, terms of service, and support policies, in addition to these Terms.

    3A. AI Solutions and AI-Enabled Services

To the extent PiBC provides, integrates, resells, or advises on artificial intelligence tools, models, or AI-enabled features (“AI Solutions”) — whether developed by PiBC or by third-party vendors and made available through our Services — the following additional terms apply:

• Nature of AI Outputs. AI Solutions may generate content, recommendations, analyses, code, or other outputs (“AI Outputs”) using machine learning or automated models. AI Outputs are generated probabilistically and may be inaccurate, incomplete, biased, or unsuitable for your intended purpose. AI Outputs do not constitute professional, legal, financial, security, or compliance advice.
• No Guarantee of Accuracy. PiBC does not warrant the accuracy, reliability, completeness, or fitness of any AI Output. You are solely responsible for independently reviewing, validating, and testing any AI Output before relying on it or deploying it in a production, business-critical, or regulated environment.
• Human Oversight Required. You agree to maintain appropriate human review and oversight when using AI Solutions for decisions affecting security, compliance, finances, employment, or other consequential business matters. AI Solutions are decision-support tools, not a substitute for qualified professional judgment.
• Data Inputs and Processing. Any data, documents, or business information you submit to an AI Solution may be processed by PiBC and/or by the underlying third-party AI vendor (e.g., Microsoft, Google, or other partners identified on the Site) in accordance with that vendor’s own data handling and AI use policies, in addition to our Privacy Policy. Do not submit data you are not authorized to share, or that is subject to confidentiality or regulatory restrictions, unless you have confirmed the applicable vendor’s data handling terms meet your requirements.
• Acceptable Use of AI Solutions. You agree not to use AI Solutions to generate unlawful, infringing, deceptive, or harmful content, to attempt to extract or reverse-engineer underlying models, or to circumvent usage limits or safety features of any AI Solution.
• Third-Party AI Vendor Terms. Where an AI Solution is provided by a third-party vendor (e.g., an AI feature within a licensed Microsoft or Google product), your use is also governed by that vendor’s AI-specific terms, acceptable use policies, and licensing agreement, which take precedence over these Terms in the event of conflict regarding that specific AI feature.
• Intellectual Property in AI Outputs. Ownership and usage rights in AI Outputs are governed by the underlying AI vendor’s terms where applicable; where PiBC-developed AI tools are used, PiBC grants you a limited right to use AI Outputs for your internal business purposes, without warranty as to originality or non-infringement, unless otherwise agreed in writing.
• Limitation of Liability for AI Solutions. The disclaimers and liability limitations in Sections 9 and 10 apply fully to AI Solutions and AI Outputs. PiBC is not liable for business decisions made in reliance on AI Outputs.

4. Quotes, Orders, and Licensing Transactions

• Requesting a quote through the Site (e.g., via “Request Quote” or “Order Here”) does not constitute a binding contract. A binding transaction is formed only upon our written confirmation of an order, applicable pricing, and payment terms.
• Pricing displayed or quoted is subject to change and may depend on vendor pricing, licensing tier, volume, and currency fluctuations, and is not guaranteed until confirmed in a formal order or invoice.
• You are responsible for providing accurate business, billing, and licensing information. PiBC is not liable for delays or errors in license provisioning resulting from inaccurate information you provide.
• License keys, subscriptions, and entitlements procured through PiBC remain subject to the underlying vendor’s licensing terms, including permitted use, seat counts, renewal obligations, and compliance requirements.

5. Support Services

• Support requests submitted through the Site are handled according to the priority level you select (Low, Medium, High, Very Urgent). Priority designations reflect intended response targets and do not guarantee a specific resolution time unless separately agreed in a signed support agreement (e.g., Premium Business Support).
• We may request additional information to diagnose or resolve support issues and are not responsible for delays caused by incomplete information or lack of responsiveness from you.

6. User Conduct

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to PiBC systems, other users’ accounts, or partner platforms;
• Interfere with or disrupt the integrity or performance of the Site;
• Misrepresent your identity or business when requesting quotes, licenses, or support;
• Use procured licenses or software in violation of the applicable vendor’s license terms.

7. Intellectual Property

All content on the Site that is created by PiBC — including text, graphics, the PiBC logo, and site design — is owned by or licensed to PiBC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent, except as necessary to use the Services as intended.

8. Payment Terms

• Payment terms will be specified in your order confirmation or invoice and may vary by transaction, licensing vendor, and agreement type.
• Late or non-payment may result in suspension of Services, license provisioning delays, or referral to collections, as applicable.
• All fees are non-refundable except where required by law or expressly stated in a separate written agreement.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PIBC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY THIRD-PARTY PRODUCT OR LICENSE PROCURED THROUGH US WILL MEET YOUR REQUIREMENTS.

PiBC does not manufacture, develop, or control the third-party software and hardware products referenced on the Site and makes no warranties regarding their performance, security, or fitness for any purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIBC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIBC’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PIBC FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PiBC, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or Services, your violation of these Terms, or your violation of any third-party vendor’s license terms.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including through the use of cookies for functional, preference, statistics, and marketing purposes.

13. Forensic Audits and Sensitive Engagements

Services such as Forensic Audits, Information Security assessments, and Managed Services may involve access to sensitive business systems or data. Such engagements will be governed by a separate signed statement of work or service agreement that takes precedence over these general Terms with respect to scope, confidentiality, and liability specific to that engagement.

14. Termination

We reserve the right to suspend or terminate your access to the Site or Services at our discretion, including for violation of these Terms, non-payment, or suspected fraudulent or unlawful activity.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction in which PiBC is registered to do business, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in that location.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.
